This Booking Agreement ("Agreement") is made between Gelos Management ("Agency") and the undersigned booker ("Booker") for the provision of entertainment services by the acts represented by the Agency ("Acts").

1. Agreement to Terms

By confirming a gig offer with Gelos Management, the Booker agrees to the terms and conditions set forth in this Agreement. This Agreement is legally binding and outlines the obligations and rights of both parties.

2. Confirmation and Payment

Upon confirmation of a gig offer by the Booker via email, the booking is considered binding. The Booker agrees to make full payment of the invoice within seven (7) working days of the performance date. Payments should be made via the method specified in the invoice, which may include bank transfer, credit card, or other accepted payment methods.

3. Booker Responsibilities

The Booker is responsible for ensuring that full and accurate information for the gig is sent to Gelos Management when requested. This information may include, but is not limited to, event date, time, location, technical requirements, and any special requests. Failure to provide the necessary information in a timely manner may result in the full cancellation fee being liable to be paid by the Booker.

4. Cancellation Policy

In the event of cancellation by the Booker, the following fees apply: a. Cancellation more than four (4) weeks before the event date: No cancellation fee. b. Cancellation between two (2) and four (4) weeks before the event date: 50% of the total agreed fee plus VAT. c. Cancellation within two (2) weeks of the event date: 100% of the total agreed fee plus VAT.

The cancellation fee may be waived at the discretion of Gelos Management in exceptional circumstances, which may include, but are not limited to, severe illness, natural disasters, or other unforeseen events beyond the control of the Booker. In the event of cancellation by Gelos Management, the Agency reserves the right to replace the Act with another of similar stature. If a suitable replacement cannot be found, the Booker will be notified and a full refund of any deposit paid will be issued, and no further liability is held by Gelos Management.

5. Failure to Pay

In the event of non-payment, Gelos Management reserves the right to charge interest on overdue amounts at the current statutory interest rate, as permitted by law. The Booker will also be liable for all legal fees and costs associated with the recovery of unpaid invoices, including but not limited to court fees, attorney fees, and collection agency fees.

6. Performance and Conduct

Acts booked through Gelos Management are expected to perform for the agreed duration and adhere to professional standards of conduct. The Booker is responsible for providing a safe and suitable performance environment, including appropriate staging, sound, and lighting equipment as specified by the Agency or the Act. The Booker shall ensure that the venue complies with all relevant health and safety regulations and has appropriate insurance coverage in place.

7. Force Majeure

Neither party shall be liable for any failure to perform its obligations under this Agreement where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption, or failure of electricity or telephone service. In such cases, both parties shall use reasonable efforts to reschedule the performance to a mutually agreeable date.

8. Changes to the Event

Any changes to the event details must be communicated to Gelos Management in writing at least fourteen (14) days prior to the event. Significant changes, which may include alterations to the date, time, venue, or technical requirements, may result in additional fees. Gelos Management will endeavor to accommodate changes but cannot guarantee that all requests can be fulfilled.

9. Liability

Gelos Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the Booker’s use of the service. The Booker agrees to indemnify and hold harmless Gelos Management from any claims, damages, losses, or expenses arising from the performance, including but not limited to property damage, personal injury, or third-party claims.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to comply with all applicable laws and regulations in the performance of their obligations under this Agreement.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all previous agreements, understandings, and arrangements, whether in writing or oral, in respect of its subject matter. No amendments or modifications to this Agreement shall be valid unless made in writing and signed by both parties.

12. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, such provision shall be severed from the remaining terms and conditions, which shall continue to be valid and enforceable to the fullest extent permitted by law. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of this Agreement.
